Legal Shield Terms

1. Introduction and Definitions
These Legal Shield Terms ("Shield Terms") govern the Midas Legal Shield program ("Legal Shield", "the Program"), a legal services benefit program made available to eligible users of the Midas cryptocurrency exchange platform. These Shield Terms supplement and are incorporated into the Midas Terms of Service. In the event of any conflict between these Shield Terms and the Terms of Service, these Shield Terms shall prevail with respect to the Legal Shield program.
1.1 Key Definitions
In these Shield Terms, the following definitions apply:
- "Midas" means 3-102-954669 S.R.L., a sociedad de responsabilidad limitada organized under the laws of the Republic of Costa Rica, operating as Midas.
- "Midas Legal" means the independent affiliated law firm and its network of licensed legal professionals that provide legal services under the Legal Shield program. Midas Legal is a separate legal entity from Midas and operates independently in all matters of professional legal judgment, case evaluation, and legal representation.
- "Legal Shield" or "the Program" means the legal services benefit program described in these Shield Terms, through which eligible Midas users may access legal services provided by Midas Legal.
- "Eligible User" means a registered Midas user who meets all eligibility requirements set forth in Section 4.
- "Covered Matter" means a legal dispute or matter that falls within the scope of coverage for the user's applicable tier and has been accepted by Midas Legal in its sole discretion.
- "No-Win-No-Fee" means the contingency fee arrangement under which legal fees are payable only upon Successful Recovery, as defined in Section 7.
- "Successful Recovery" means the collection or receipt of monetary compensation, asset recovery, or other quantifiable financial benefit as a direct result of legal action undertaken by Midas Legal on behalf of a user.
- "Subscription Fee" means the recurring monthly payment applicable to Shield Plus, Shield Pro, and Shield Elite tiers.
2. Nature of the Program
2.1 Benefit Program, Not Insurance
Legal Shield is a legal services benefit program. It is not an insurance product, an insurance policy, a warranty, a guarantee, an indemnity arrangement, or any form of insurance coverage. Legal Shield does not provide indemnification against loss, coverage guarantees, claims reserves, or any protections characteristic of insurance products. Legal Shield should not be construed as, or used as a substitute for, any insurance product.
2.2 Independent Legal Services
All legal services under the Program are provided exclusively by Midas Legal, which operates as an independent affiliated law firm. Midas does not provide, supervise, direct, or control the provision of legal services. Midas's role is limited to administering the Program (including subscription management, user eligibility verification, and case submission facilitation) and does not extend to the practice of law, legal advice, case strategy, or any aspect of legal representation.
2.3 No Attorney-Client Relationship with Midas
Participation in the Legal Shield program does not create, and shall not be construed as creating, an attorney-client relationship between you and Midas. Any attorney-client relationship that may arise is solely between you and Midas Legal (or specific legal professionals within Midas Legal's network) and is governed by separate engagement terms provided by Midas Legal.
2.4 No Guarantee of Representation or Outcome
Subscription to any tier of Legal Shield does not guarantee, imply, or create any right to legal representation, case acceptance, legal advice, or any particular outcome. Midas Legal retains absolute and sole discretion over all matters of professional legal judgment, including but not limited to case acceptance, case strategy, settlement decisions, and case discontinuation. No representation made by Midas regarding the Legal Shield program shall be construed as a guarantee or promise of legal representation by Midas Legal.
3. Tier Structure
3.1 Shield Basic (Free)
Shield Basic is included at no additional cost with every verified Midas account. Shield Basic provides:
- Initial case evaluation for crypto fraud and exchange-related disputes involving third parties
- Access to community legal resources and educational materials
- Submission of up to 1 case per calendar quarter for evaluation
- Standard case evaluation timeline (up to 30 business days)
3.2 Shield Plus ($29/month)
Shield Plus is a paid subscription tier providing expanded coverage:
- All Shield Basic benefits
- Extended coverage for consumer protection disputes
- Priority case evaluation (up to 15 business days)
- Up to 2 active cases simultaneously
- Access to legal consultation sessions (subject to availability)
- Document review assistance for relevant matters
3.3 Shield Pro ($99/month)
Shield Pro provides professional-grade legal protection:
- All Shield Plus benefits
- Coverage for financial disputes, regulatory inquiries, and investment recovery
- Expedited case evaluation (up to 7 business days)
- Up to 5 active cases simultaneously
- Dedicated case manager
- Quarterly legal health review of your digital asset activities
3.4 Shield Elite ($299/month)
Shield Elite is the comprehensive protection tier:
- All Shield Pro benefits
- Coverage for commercial disputes, cross-border matters, and business litigation
- Priority case evaluation (up to 3 business days)
- Unlimited active cases
- Senior legal team assignment
- 24/7 priority support and emergency case submission
- Annual comprehensive legal audit of digital asset positions
3.5 Tier Modifications
Midas reserves the right to modify the features, benefits, pricing, and availability of any tier at any time upon 30 days' notice to active subscribers. Continued subscription after the effective date of any modification constitutes acceptance of the modified terms.
4. Eligibility
4.1 General Requirements
To be eligible for Legal Shield, you must:
- Maintain an active Midas account in good standing
- Have completed identity verification (KYC) to the level required by Midas
- Not be subject to any account restrictions, suspensions, or pending compliance reviews
- Reside in a jurisdiction where Legal Shield services are available
- Be a natural person of at least 18 years of age, or an authorized representative of a legal entity with a verified business account
4.2 Paid Tier Requirements
For Shield Plus, Shield Pro, and Shield Elite, you must additionally:
- Maintain an active subscription with current payment
- Have maintained the applicable tier subscription for a minimum of 30 consecutive days before submitting a case (the "Cooling Period")
- Not have previously had a subscription terminated for cause
4.3 Eligibility Verification
Midas reserves the right to verify your eligibility at any time and to suspend or revoke Legal Shield access if you are found to no longer meet the eligibility requirements. Eligibility determinations by Midas are final and not subject to appeal.
5. Case Evaluation and Acceptance
5.1 Absolute Discretion
Midas Legal retains absolute, sole, and unfettered discretion to accept, decline, or discontinue any case at any time, for any reason or for no reason whatsoever, without obligation to provide explanation. This discretion extends to all aspects of case handling, including but not limited to initial evaluation, ongoing representation, settlement negotiations, and any decisions regarding the pursuit, continuation, or discontinuation of legal proceedings.
5.2 Evaluation Criteria
While Midas Legal exercises sole discretion over case acceptance, factors that may be considered include (without limitation):
- Legal merit and evidentiary basis of the claim
- Jurisdictional viability and applicable law
- Likelihood and potential magnitude of recovery
- Proportionality of legal costs to potential recovery
- Availability of qualified legal professionals in the relevant jurisdiction
- The user's cooperation, truthfulness, and completeness of information provided
- Whether the matter falls within the scope of the user's tier coverage
- Any conflicts of interest
- Resource availability and caseload management
5.3 No Obligation to Accept
The evaluation of a case submission does not create any obligation on the part of Midas Legal to accept the case, provide legal advice, or undertake any further action. A case evaluation that does not result in case acceptance does not entitle the user to any refund, compensation, credit, or alternative remedy.
5.4 Case Discontinuation
Midas Legal may discontinue representation in any accepted case at any time if, in its sole professional judgment: (a) the case no longer has sufficient merit; (b) the user has failed to cooperate or provide required information; (c) the user has provided false, misleading, or materially incomplete information; (d) a conflict of interest arises; (e) continued representation would be unethical or impracticable; or (f) for any other reason at Midas Legal's discretion, subject to applicable professional conduct rules regarding withdrawal from representation.
6. Subscription and Payment
6.1 Billing
Shield Plus, Shield Pro, and Shield Elite subscriptions are billed monthly in advance. Payment is processed through the payment methods available on the Midas platform. By subscribing, you authorize Midas to charge your selected payment method on a recurring monthly basis until cancellation.
6.2 No Refunds
Subscription Fees are non-refundable. No refunds, credits, or pro-rata adjustments will be provided for any reason, including but not limited to: case decline or non-acceptance, case discontinuation, program dissatisfaction, account suspension, downgrade, cancellation, or early termination. This no-refund policy applies regardless of whether you submitted any cases during the subscription period.
6.3 Price Changes
Midas may modify Subscription Fees at any time upon 30 days' notice. Continued subscription after the effective date of a price change constitutes acceptance. If you do not agree with the new pricing, your sole remedy is to cancel your subscription before the next billing cycle.
6.4 Cancellation
You may cancel your subscription at any time through the Midas platform. Cancellation takes effect at the end of the current billing period. Active cases at the time of cancellation will be handled in accordance with Midas Legal's professional obligations and may be discontinued at Midas Legal's discretion.
7. No-Win-No-Fee Model
7.1 Contingency Fee Structure
Legal services provided under the Legal Shield program operate on a no-win-no-fee (contingency fee) basis. This means that legal fees charged by Midas Legal for accepted cases are payable only upon Successful Recovery. The contingency fee percentage is determined by Midas Legal at the time of case acceptance and communicated to the user in the engagement letter.
7.2 Definition of Successful Recovery
"Successful Recovery" means the actual collection or receipt of monetary compensation, digital asset recovery, fiat currency recovery, or other quantifiable financial benefit obtained as a direct result of legal action, negotiation, mediation, arbitration, or settlement undertaken by Midas Legal on the user's behalf. Successful Recovery is measured by amounts actually collected, not by judgments, awards, or settlements that have not been collected.
7.3 Contingency Fee Percentage
The contingency fee percentage will typically range from 15% to 40% of the Successful Recovery, depending on the complexity, jurisdiction, risk, and resources required. The specific percentage is set forth in the engagement letter for each case and is not negotiable after acceptance unless both parties agree in writing.
7.4 Disbursements and Costs
The no-win-no-fee arrangement covers Midas Legal's professional fees only. Out-of-pocket disbursements and third-party costs (including but not limited to court filing fees, expert witness fees, translation costs, travel expenses, notarization, and government charges) may be the user's responsibility regardless of outcome. Midas Legal will notify users of anticipated disbursements before incurring them.
7.5 Subscription Fees Are Separate
Monthly Subscription Fees for Shield Plus, Shield Pro, and Shield Elite are separate from and in addition to any contingency fees. Subscription Fees are not legal fees and are not subject to the no-win-no-fee arrangement. Subscription Fees are payable regardless of case submission, acceptance, or outcome.
8. Exclusions
The following matters are excluded from Legal Shield coverage under all tiers and will not be considered for case evaluation or acceptance:
- Disputes against Midas: Any claims, disputes, grievances, or legal actions against Midas, Midas Legal, or any of their affiliates, subsidiaries, officers, directors, employees, or agents. Any disputes with Midas are subject to the dispute resolution provisions in the Midas Terms of Service.
- Criminal matters: Criminal defense, criminal proceedings, criminal investigations, or any matter where the user is a suspect, defendant, or subject of criminal inquiry.
- Pre-existing disputes: Disputes, claims, or matters that existed or were known to the user before becoming eligible for the applicable tier, including matters for which legal proceedings were already initiated or legal representation was already retained.
- Self-inflicted losses: Losses resulting from the user's own negligence, intentional misconduct, violation of law, violation of Midas Terms of Service, or failure to follow reasonable security practices.
- Sanctioned jurisdictions: Matters involving parties, assets, or transactions in jurisdictions subject to comprehensive sanctions by the United States, European Union, United Kingdom, or United Nations.
- Tax matters: Tax advice, tax planning, tax return preparation, tax disputes with governmental authorities, or any other tax-related matters.
- Family and personal matters: Divorce, custody, estate planning, personal injury, real property disputes (other than tokenized real estate), and other matters unrelated to digital assets or financial services.
- Cases without merit: Claims that Midas Legal determines, in its sole discretion, lack sufficient legal basis, evidentiary support, or reasonable prospect of success.
- De minimis claims: Claims where the amount in dispute is below the minimum threshold established by Midas Legal for the applicable tier (as communicated during case evaluation).
- Speculative or unrealized losses: Claims based on speculative losses, opportunity costs, unrealized gains, future profits, or fluctuations in asset value.
9. User Obligations
As a participant in the Legal Shield program, you agree to:
- Provide truthful, accurate, complete, and timely information in all case submissions and communications with Midas Legal
- Cooperate fully with Midas Legal throughout the case evaluation, legal proceedings, and any settlement processes
- Promptly respond to requests for information, documents, or instructions from Midas Legal
- Not take any action that could prejudice, compromise, or adversely affect your case or Midas Legal's ability to represent you
- Not retain separate legal counsel for the same matter without informing Midas Legal
- Not make public statements about pending cases that could prejudice the proceedings
- Inform Midas Legal of any material changes in circumstances relevant to your case
- Pay any applicable disbursements and costs as set forth in Section 7.4
- Comply with all applicable laws and regulations in connection with your participation in the Program
Failure to comply with these obligations may result in case discontinuation, program termination, and forfeiture of any benefits, without liability to Midas or Midas Legal.
10. Limitation of Liability
10.1 Midas Liability
To the maximum extent permitted by applicable law, Midas shall not be liable for any loss, damage, cost, expense, claim, or liability of any kind whatsoever arising out of or in connection with the Legal Shield program, including but not limited to:
- Any acts, omissions, errors, negligence, or malpractice of Midas Legal or any legal professional in Midas Legal's network
- The acceptance, declination, or discontinuation of any case by Midas Legal
- The outcome, result, or lack of result of any legal proceedings or case
- Any delay in case evaluation, legal proceedings, or resolution
- The quality, adequacy, or suitability of legal services provided by Midas Legal
- Any failure of Midas Legal to achieve any particular outcome or recovery
- Any breakdown in the relationship between the user and Midas Legal
- The availability or unavailability of legal professionals in any jurisdiction
- Any decision made by the user in reliance on advice or services received through the Program
10.2 Maximum Liability
In no event shall Midas's aggregate liability to you in connection with the Legal Shield program exceed the total Subscription Fees actually paid by you to Midas in the twelve (12) months immediately preceding the event giving rise to the claim. For Shield Basic users, Midas's maximum aggregate liability is zero (0) USD.
10.3 Exclusion of Consequential Damages
In no event shall Midas, Midas Legal, or any of their respective affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of opportunity, loss of reputation, or loss of digital assets, regardless of whether such damages were foreseeable and regardless of whether any party was advised of the possibility of such damages.
10.4 Professional Liability
Any claims relating to the quality of legal services, professional negligence, or malpractice are solely between you and Midas Legal (and/or the individual legal professional). Midas expressly disclaims all liability for the professional conduct, competence, or performance of Midas Legal and its network of legal professionals.
11. Indemnification
You agree to indemnify, defend, and hold harmless Midas, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, costs, expenses, and liabilities (including reasonable attorneys' fees) arising out of or in connection with:
- Your participation in or use of the Legal Shield program
- Your breach of these Shield Terms or the Terms of Service
- Any inaccurate, false, or misleading information provided by you in connection with any case submission or program participation
- Any dispute between you and Midas Legal or any legal professional
- Your violation of any law, regulation, or third-party rights
- Any claim by a third party arising from or related to your use of Legal Shield services
12. Program Modification and Termination
12.1 Modification
Midas reserves the right to modify, suspend, or discontinue any aspect of the Legal Shield program at any time, including but not limited to tier structures, pricing, coverage areas, eligibility requirements, case limits, and these Shield Terms. Material modifications will be communicated to active subscribers with 30 days' notice. Continued participation after the effective date of any modification constitutes acceptance.
12.2 Termination by Midas
Midas may terminate your participation in the Legal Shield program at any time, with or without cause, upon notice to you. Termination may result from (without limitation): violation of these Shield Terms, violation of the Terms of Service, fraudulent or abusive use of the Program, account suspension or closure, or any other reason at Midas's sole discretion.
12.3 Program Discontinuation
Midas may discontinue the Legal Shield program entirely at any time upon 60 days' notice to active subscribers. In the event of program discontinuation, Midas's sole obligation is to cease billing for future subscription periods. No refunds will be provided for the current billing period. Active cases at the time of discontinuation will be handled in accordance with Midas Legal's professional obligations.
12.4 Survival
The provisions of Sections 2 (Nature of the Program), 7 (No-Win-No-Fee Model, with respect to active cases), 8 (Exclusions), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), 14 (Governing Law), and 15 (Miscellaneous) shall survive termination or discontinuation of your participation in the Program.
13. Dispute Resolution
13.1 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Shield Terms or the Legal Shield program, including any question regarding its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with the ICC Arbitration Rules then in effect. The arbitration shall be conducted by a sole arbitrator appointed in accordance with the ICC Rules. The seat and venue of arbitration shall be San Jose, Costa Rica. The language of the arbitration shall be English.
13.2 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Midas, Midas Legal, or any of their affiliates in connection with the Legal Shield program. If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, then the dispute resolution provisions of Section 13.1 shall be deemed null and void in their entirety and the dispute shall be decided by a court of competent jurisdiction in San Jose, Costa Rica.
13.3 Time Limitation
Any claim or cause of action arising out of or related to the Legal Shield program must be filed within one (1) year after the date on which such claim or cause of action arose. Any claim not filed within this period is permanently barred.
13.4 Injunctive Relief
Notwithstanding the foregoing, Midas may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Midas's intellectual property rights, confidential information, or any other proprietary rights.
14. Governing Law
These Shield Terms and all matters arising out of or relating to the Legal Shield program shall be governed by and construed in accordance with the laws of the Republic of Costa Rica, without regard to principles of conflict of laws. To the extent that the arbitration provisions of Section 13 are found inapplicable or unenforceable, you consent to the exclusive jurisdiction and venue of the courts located in San Jose, Costa Rica.
15. Miscellaneous
15.1 Entire Agreement
These Shield Terms, together with the Terms of Service and any engagement letter provided by Midas Legal, constitute the entire agreement between you and Midas with respect to the Legal Shield program and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
15.2 Severability
If any provision of these Shield Terms is found to be unlawful, void, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
15.3 No Waiver
The failure of Midas to enforce any provision of these Shield Terms shall not constitute a waiver of that or any other provision. No waiver of any breach shall constitute a waiver of any subsequent breach.
15.4 Assignment
You may not assign or transfer your Legal Shield subscription or any rights under these Shield Terms without Midas's prior written consent. Midas may assign its rights and obligations under these Shield Terms to any successor, affiliate, or assignee without notice or consent.
15.5 Force Majeure
Neither Midas nor Midas Legal shall be liable for any delay or failure to perform resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of government, pandemics, epidemics, fire, flood, strikes, or disruptions to telecommunications or internet services.
15.6 Interpretation
The headings in these Shield Terms are for convenience only and do not affect interpretation. The use of "including" or "such as" is illustrative and not limiting. References to "discretion" mean sole and absolute discretion unless otherwise stated.
